Change at Zumtobel’s Shareholder Structure / Release according to article 93 section 2 BörseG: SICAV Objectif Small Caps Euro (SICAV) holds more than 4% of Zumtobel stock
Dornbirn, January 22, 2014 – Zumtobel AG (VSE: ZAG) has been informed by Lazard Freres Gestion (LFG) concerning a change in the number of Zumtobel shares owned by SICAV Objectif Small Caps Euro (SICAV), a fund managed by LFG. As of January 17, 2014, SICAV reported a holding of 1,771,182 shares in Zumtobel AG or 4.07% of the issued shares (43,500.000), thereby crossing the 4% voting rights threshold on said date.

The notification has to be read in conjunction with the notification dated January 15, 2014 in the name of Lazard Freres Gestion. SICAV has delegated the exercise of the voting rights to LFG; however, SICAV now exceeds the threshold on its own, without aggregation with other managed funds.
As of January 17, 2014, LFG in total now holds 1,851,182 voting rights of Zumtobel AG, or 4.25% of the issued shares. Thereof 80,000 shares are held directly by LFG and 1,771,182 are held indirectly, through the delegated voting rights of SICAV.

Under Austrian law a company needs to announce if the stake of a shareholder exceeds or falls below a specific level (e.g. 4%, 5% or 10%).
